Agreement to Terms
By accessing or using the services provided by Portcullis Tech, you agree to be bound by these Terms of Service.
Services
Portcullis Tech provides software development, cloud services, DevOps consulting, and managed IT services. Specific terms will be defined in separate Statements of Work.
Client Responsibilities
Clients agree to provide accurate information, timely approvals, necessary access, and payments according to agreed terms.
Intellectual Property
Custom code becomes your property upon full payment. Pre-existing materials remain our property with a perpetual license granted for your use.
Confidentiality
Both parties agree to maintain confidentiality of proprietary information. This obligation survives termination of any agreement.
Payment Terms
Invoices are due within 14 days. Late payments may incur interest charges. All fees are exclusive of applicable taxes.
Warranties
We warrant services will be performed professionally. Other warranties, express or implied, are disclaimed to the extent permitted by law.
Limitation of Liability
Our liability is limited to fees paid in the twelve months preceding any claim. We are not liable for indirect or consequential damages.
Termination
Either party may terminate with 30 days written notice. Upon termination, payment for completed work is due.
Governing Law
These Terms are governed by the laws of New South Wales, Australia. Disputes shall be resolved in NSW courts.
